Terms of Service

1Acceptance of Terms
By accessing or using the DrillMetrix website, mobile applications, or related services (collectively, the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.
2Description of Service
DrillMetrix provides drilling operations management, reporting, KPI tracking, downtime tracking, consumables management, analytics, and related services. DrillMetrix may modify, improve, suspend, or discontinue features at any time.
3Account Registration
Users must provide accurate information, maintain credential security, and are responsible for all activity occurring under their accounts. You agree to promptly notify DrillMetrix of any unauthorized access.
4Free Trial
Free trials may be offered to new users subject to the following terms:
Free trials are available to new accounts only and are limited to the features of the selected plan.
At the end of the free trial period, your account will automatically convert to a paid subscription unless you cancel before the trial expires. You will be notified prior to conversion.
No charges will be applied during the free trial period. Cancellation before the trial end date prevents any charge.
DrillMetrix reserves the right to modify or discontinue free trial offers at any time.
5Subscription Plans and Billing
Paid subscriptions are billed through Stripe or authorized processors. By subscribing, you agree that:
Plans automatically renew at the end of each billing period unless cancelled prior to renewal.
Subscription fees are non-refundable except where required by applicable law.
DrillMetrix may modify pricing with no less than 30 days' advance written notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.
Failure to maintain a valid payment method may result in suspension or termination of access.
6Customer Data Ownership
Operational data entered into DrillMetrix remains the property of the subscribing customer. DrillMetrix receives a limited, non-exclusive license to store, process, display, and transmit such data solely to provide the Service.
7Data Retention and Deletion
Customer data is retained during active subscriptions. Upon account termination or cancellation:
Customer data will be retained for 30 days following termination. During this window, customers may request a data export by contacting support@drillmetrix.com.
After the 30-day retention window, DrillMetrix will delete customer data from active systems. Residual copies in backup systems may persist for up to 90 days before being purged.
DrillMetrix is not liable for data loss where the customer failed to request an export within the 30-day window.
8Acceptable Use
Users may not misuse the Service, attempt unauthorized access, upload malicious content, reverse engineer proprietary components, or interfere with platform operation. DrillMetrix may suspend accounts that violate these Terms without prior notice.
9Availability of Service
Service interruptions may occur due to maintenance, updates, outages, or third-party providers. DrillMetrix will make reasonable efforts to provide advance notice of planned maintenance. Temporary interruptions do not create liability for DrillMetrix.
10Data Accuracy and User Responsibility
Users are responsible for the accuracy of data entered into the Service. Reports, analytics, and KPIs are generated from user-provided data and are not certified as operationally accurate. The Service is intended to assist with operational visibility and reporting and should not be relied upon as the sole basis for safety, engineering, maintenance, regulatory, or other critical operational decisions. Business and operational decisions made using information generated by the Service remain the sole responsibility of the customer.
11Safety-Critical Operations
DrillMetrix is an operational reporting, analytics, and performance management platform. It is not a safety management system, dispatch system, equipment control system, engineering tool, or regulatory compliance system. Customers remain solely responsible for workplace safety, regulatory compliance, equipment operation and maintenance, personnel supervision, training, and risk management.
12Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND TO THE FULLEST EXTENT PERMITTED BY LAW. DRILLMETRIX EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE AVAILABILITY. USE OF THE SERVICE IS AT YOUR OWN RISK.
13Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DRILLMETRIX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST PRODUCTION, DATA LOSS, OR DECISIONS MADE BASED ON REPORTS, ANALYTICS, KPI CALCULATIONS, DASHBOARDS, OR OPERATIONAL DATA GENERATED BY THE SERVICE.
DrillMetrix's total aggregate liability for any claim shall not exceed the amount paid by the customer during the twelve (12) months immediately preceding the event giving rise to the claim.
14Indemnification
You agree to defend, indemnify, and hold harmless DrillMetrix and its owners, officers, employees, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of applicable laws.
15Termination
Accounts may be suspended or terminated for violations of these Terms, fraudulent activity, security risks, or non-payment. Users may terminate at any time by contacting support@drillmetrix.com or using available account deletion features. Upon termination, the data retention terms in Section 7 apply.
16Dispute Resolution
Before initiating any formal proceeding, you agree to provide DrillMetrix with written notice of the dispute and at least 30 days to attempt informal resolution. If unresolved, disputes will be subject to binding arbitration administered under AAA rules in Atlanta, Georgia. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
17Intellectual Property
The DrillMetrix platform, software, branding, logos, designs, and proprietary functionality remain the property of DrillMetrix and are protected by applicable intellectual property laws. These Terms do not grant ownership rights to any portion of the Service.
18Changes to the Service or Terms
DrillMetrix may update these Terms periodically. Material changes will be communicated via email or in-app notification with reasonable advance notice. Continued use after changes take effect constitutes acceptance of the revised Terms.
19Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
